Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website at verifyapis.com (the “Site”), the VerifyAPIs application programming interfaces, data feeds, and lead lists (the “Services”), operated by ReSkillify Group LLC (“ReSkillify Group,” “we,” “us,” or “our”). By accessing or using the Site or Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind it.

1. The Services

VerifyAPIs provides developer-facing compliance and verification data, including federal exclusion screening (HHS OIG LEIE and SAM.gov), healthcare facility development intelligence (derived from CMS NPPES data), and related products. Features, endpoints, datasets, and pricing may change as the Services evolve.

2. Accounts and API keys

• You are responsible for safeguarding your API keys and for all activity under your keys.
• Do not share keys, exceed your plan’s rate or volume limits, or attempt to circumvent metering or authentication.
• Notify us promptly at founders@verifyapis.com of any unauthorized use.

3. Acceptable use

You agree not to: (a) use the Services to violate any law or the rights of others; (b) use returned data to unlawfully discriminate against, harass, or harm any individual; (c) resell or redistribute raw data except as expressly permitted by your plan; (d) reverse engineer, scrape, or overload the Services; or (e) use the Services to build a competing bulk copy of our datasets.

4. Fees and billing

Paid plans and usage-based charges are billed as described at the point of sale (including through marketplaces such as RapidAPI, or via our payment processor). A free tier is offered subject to its stated limits. Fees are non-refundable except where required by law or expressly stated. We may change pricing prospectively with notice.

5. Data accuracy and compliance disclaimer

Important. The Services surface information derived from third-party and government sources that we do not control and that may contain errors, omissions, or delays. The Services are a data and workflow tool — they are not legal, compliance, credentialing, or hiring advice, and they do not constitute a consumer report under the Fair Credit Reporting Act (FCRA). You are solely responsible for how you use returned data, including any decision to screen, hire, credential, contract with, or decline any person or entity, and for meeting your own legal obligations. Always confirm a potential match against the authoritative source before acting on it.

6. Intellectual property

The Site, Services, software, and our compilations and presentations of data are owned by ReSkillify Group or its licensors and are protected by law. Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable right to use the Services and the results you retrieve for your internal business purposes. Underlying public-record facts are not owned by us.

7. Third-party services

The Services integrate with or rely on third parties (for example, hosting, payment, and email providers, and government data sources). Your use of those services may be subject to their terms, and we are not responsible for third-party acts or omissions.

8. Warranty disclaimer

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL BE COMPLETE OR CURRENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESKILLIFY GROUP AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless ReSkillify Group and its affiliates from claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Services or your violation of these Terms or applicable law.

11. Termination

We may suspend or terminate access if you breach these Terms or to protect the Services. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of [state of formation — to be confirmed], United States, without regard to its conflict-of-laws rules. The state and federal courts located in that state will have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. We will post the revised version here and update the effective date. Your continued use of the Services after changes take effect constitutes acceptance.
